Terms of Service
Effective August 1, 2025 — Please read these terms carefully before using bioshielduv.com or purchasing our products.
By accessing or using the website located at bioshielduv.com (the "Site"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you ("Customer," "you," or "your") and BioShieldUV Inc. ("Company," "we," "us," or "our").
If you do not agree to all of these Terms, you are not authorized to use the Site or purchase our products and services. We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of the Site following any changes constitutes acceptance of those changes.
You must be at least 18 years of age to use this Site or make purchases. By using the Site, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into binding agreements.
You agree not to use the Site for any of the following:
- Any illegal, unlawful, or unauthorized purpose, including violation of any local, state, national, or international law
- Uploading, transmitting, or distributing viruses, malware, worms, trojan horses, or any other malicious code that may damage the Site or its users
- Engaging in automated data collection, scraping, harvesting, or mining of content without our express written permission
- Creating false accounts, impersonating another person, or providing inaccurate registration information
- Harassing, threatening, intimidating, or abusing any other users, employees, or representatives of the Company
- Attempting to gain unauthorized access to our systems, servers, or networks
- Interfering with the proper functioning of the Site, including overloading or flooding our infrastructure
We strive to provide accurate product descriptions, images, and specifications on the Site. However, we do not warrant that product descriptions, images, pricing, or other content is accurate, complete, reliable, current, or error-free. Product images are for illustrative purposes and may not be an exact representation of the product.
All prices displayed on the Site are in United States Dollars (USD) and are subject to change without notice. We reserve the right to modify or discontinue any product or service at any time without prior notice.
The Guardian Club is BioShieldUV's subscription-based service program that provides ongoing maintenance and warranty coverage for your UV-C system.
Your Guardian Club subscription automatically renews every 10 months. You will be charged the then-current subscription price at each renewal period. You may cancel your subscription at any time through your account settings or by contacting our support team.
- UV-C Unit: Lifetime warranty on the unit itself, covering manufacturing defects and component failures, for as long as your Guardian Club subscription remains active
- UV-C Bulb: 6-month warranty on replacement bulbs, limited to replacement only
UV-C bulbs are covered for replacement only. NO REFUNDS will be issued for UV-C bulbs under any circumstances. All warranty claims for bulbs will be fulfilled through replacement units only.
We accept the following payment methods for purchases made through the Site:
All payment processing is handled through PCI DSS compliant third-party payment processors. We do not store your complete credit card information on our servers. By submitting your payment information, you authorize us to charge the applicable fees to your chosen payment method.
Title and risk of loss for all products pass from BioShieldUV to you upon delivery of the products to the carrier. We are not responsible for delays, damage, or loss that occurs during shipping once the products have been transferred to the carrier.
Shipping times displayed on the Site are estimates only and are not guaranteed. Actual delivery times may vary based on carrier performance, destination, customs processing (for international orders), weather conditions, and other factors beyond our control.
UV-C devices (units) may be returned within 90 days of the original purchase date. To be eligible for a return, the device must be in its original packaging and in resalable condition. Contact our support team to initiate a return and receive a Return Merchandise Authorization (RMA) number.
UV-C BULBS ARE NOT ELIGIBLE FOR REFUNDS UNDER ANY CIRCUMSTANCES. This policy is absolute and applies to all bulb purchases, whether standalone or included with a system.
- 1-Year Limited Warranty (Units): All UV-C units include a standard 1-year limited warranty covering defects in materials and workmanship under normal use. This warranty is separate from and in addition to the Guardian Club lifetime warranty.
- 14-Day DOA Warranty (Bulbs): UV-C bulbs that are dead on arrival (non-functional upon initial installation) are covered for 14 days from the date of delivery. Coverage is limited to replacement only.
- All Warranty Claims = Replacement or Repair: All warranty fulfillment is limited to replacement or repair of the defective item at our discretion. No refunds will be issued for warranty claims.
All content on the Site, including but not limited to text, graphics, logos, trademarks, trade names, images, photographs, product designs, software code, page layout, and the overall "look and feel" of the Site, is the exclusive property of BioShieldUV Inc. or its licensors and is protected by United States and international copyright, trademark, patent, and other intellectual property laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any content from the Site without our prior written consent, except for temporary copies made incidentally in the normal course of browsing and personal, non-commercial use.
By submitting, posting, or displaying any content on or through the Site, including but not limited to product reviews, photographs, comments, testimonials, and feedback ("User Content"), you grant BioShieldUV Inc. a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, transferable, and fully sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in any media or distribution method now known or later developed.
You represent and warrant that you own or have the necessary rights to all User Content you submit and that such content does not violate the rights of any third party, including intellectual property rights, privacy rights, or publicity rights.
THE SITE AND ALL PRODUCTS AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
BioShieldUV products are NOT medical devices. They are not intended to diagnose, treat, cure, or prevent any disease. No health claims are made regarding our products.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BIOSHIELDUV INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your access to, use of, or inability to access or use the Site or our products
- Any conduct or content of any third party on the Site
- Any content obtained from the Site
- Unauthorized access, use, or alteration of your transmissions or content
- Personal injury or property damage arising from your use of our products
Our total liability is capped at the amount you actually paid to BioShieldUV for the specific product or service giving rise to the claim.
You agree to defend, indemnify, and hold harmless BioShieldUV Inc. and its officers, directors, employees, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Site, your use of any product purchased through the Site, or your violation of any rights of a third party.
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of law provisions.
Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Cheyenne, Wyoming. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
CLASS ACTION WAIVER: You agree that any arbitration or legal proceeding shall be conducted solely on an individual basis. You waive any right to participate in a class action, class arbitration, or representative proceeding of any kind.
Your use of the Site is also governed by our Privacy Policy, which describes how we collect, use, store, and share your personal information. By using the Site, you consent to the practices described in our Privacy Policy. Please review our Privacy Policy carefully to understand our practices.
By using the Site or making a purchase, you consent to receive electronic communications from us. These communications may include order confirmations, shipping notifications, account updates, promotional offers, newsletters, and customer service correspondence. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
You may opt out of promotional emails at any time by clicking the "unsubscribe" link in any promotional email or by contacting our support team. Please note that opting out of promotional communications does not affect transactional emails related to your orders or account.
If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severed from these Terms and shall not affect the validity and enforceability of the remaining provisions.
The failure of BioShieldUV to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver shall be effective unless made in writing and signed by an authorized representative of BioShieldUV.
These Terms, together with the Privacy Policy and any other legal notices or policies published by us on the Site, constitute the entire agreement between you and BioShieldUV Inc. regarding your use of the Site and supersede all prior agreements, representations, and understandings.
We reserve the right to modify these Terms at any time. Material changes will be communicated via the Site or email. Your continued use of the Site after modifications are posted constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce and sanctions programs administered by the Office of Foreign Assets Control (OFAC). You represent that you are not located in any country subject to a U.S. government embargo.
BioShieldUV shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, war, terrorism, government actions, labor disputes, supply chain disruptions, power outages, or internet service interruptions.
You may not assign or transfer these Terms, or any rights or obligations hereunder, without the prior written consent of BioShieldUV. We may assign or transfer these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
